## AUTOMATIC RENEWAL DISCLOSURE — PLEASE READ BEFORE ENROLLING

**This plan renews automatically.** Your payment method will be charged the amount and at the frequency you select at enrollment — every week, every two weeks, or every month — and those charges will continue automatically until you cancel.

**You may cancel at any time**, online through your account page, by email, or by calling 888-560-8488. Because you enroll online, you can cancel online.

**Cancelling stops future charges. It does not by itself refund amounts you have already paid.** Unused amounts remain available toward eligible services, or may be refunded subject to the Program Fee described in Section 15.

By enrolling, you expressly consent to these recurring charges.

## 1. Program Overview

These Fresh Start Savings Program Terms and Conditions (the "Terms") govern enrollment in and use of the Fresh Start Savings Program (the "FSSP" or the "Program"), a prepaid service plan offered by Emergency Cleanings, Inc. or the applicable Emergency Cleanings contracting entity ("Company," "we," "us," or "our").

The Program allows eligible customers ("Customer," "you," or "your") to make recurring advance payments toward eligible future cleaning and related services provided by Company. Amounts paid under the Program are recorded as your Prepaid Service Balance and may be applied toward eligible Company services once you are ready to schedule work, subject to final scope, final pricing, availability, these Terms, and Company's standard service documents.

## 2. Nature of the Prepaid Service Plan

The FSSP is a prepaid service plan. It is not a loan, not financing, not a banking product, not a stored-value card, not an investment, and not a financial account. Enrollment does not involve underwriting, interest, income generation, reporting to consumer agencies, or lending approval.

Your Prepaid Service Balance represents advance payments for eligible future services. Until services are actually performed, these payments constitute unearned fees and a contract liability owed by Company to you. The balance may be applied only toward eligible Company services unless a refund is requested and processed under these Terms.

## 3. Eligibility and Enrollment

Company may offer the Program to customers with a real, serviceable project within Company's scope of services and service area. Company may decline enrollment if the requested work is outside Company's scope, outside operational capacity, unsafe, illegal, impractical, or otherwise unsuitable for the Program.

**Before you provide any payment information**, Company will display a summary of the Program terms, including the Estimated Project Goal, your selected payment amount, your selected payment frequency, how to cancel, and the refund terms. You must affirmatively accept these Terms, and separately and affirmatively consent to the recurring charge, before Company activates any recurring payment.

Company administers the Program using its own systems together with Stripe, its payment processor, or any successor platform. These systems store customer information, process payments, manage recurring billing, and record Program status.

Company retains records of your enrollment and consent — including the terms displayed, the date and time of acceptance, and the specific consents given — for at least three (3) years, or one (1) year following termination of the Program, whichever is longer.

## 4. Estimated Project Goal

At enrollment, Company will identify an estimated project goal amount (the "Estimated Project Goal"). The Estimated Project Goal is a planning figure only. It is based on information available at the time, including your description of the property and the work needed, and, where provided, photos, videos, access information, property condition, service type, disposal needs, labor expectations, travel, and equipment requirements.

The Estimated Project Goal is not a guaranteed final price, not a fixed quote, and not a promise that all requested work can be completed for that amount. Final pricing and final scope are confirmed only after Company reviews current property conditions and issues the applicable written service documents before work begins.

Company may request photos or video after enrollment in order to confirm or adjust the Estimated Project Goal. Providing them is not a condition of enrollment or of continued participation, but the Estimated Project Goal is more likely to remain accurate when current information is available to Company.

## 5. Payment Frequency and Amount

**You select how often you pay.** At enrollment you choose one of the following billing frequencies, and the amount charged at each interval:

| You pay | Charges per year | Current minimum per payment |
|---|---|---|
| Every week | 52 | $40 |
| Every two weeks | 26 | $75 |
| Every month | 12 | $150 |

Minimums are subject to change for new enrollments. Company will not increase the minimum applicable to your existing plan.

The amount, frequency, and first billing date are disclosed to you before you provide payment information and are confirmed in writing after enrollment.

## 6. Recurring Payment Authorization

By enrolling in the Program and providing the separate consent described in Section 3, you authorize Company and its payment processor to charge your selected payment method for the recurring amount, at the recurring frequency, disclosed to you at enrollment.

Charges will continue at that frequency until you cancel future payments under these Terms, the Program is completed, or Company terminates the Program in accordance with these Terms.

You are responsible for maintaining a valid payment method and accurate billing information.

## 7. Changing Your Payment Amount or Frequency

You may change your payment amount or your payment frequency at any time through your account page, by email, or by calling 888-560-8488, subject to the minimum then in effect for the frequency you select.

A change to your recurring payment amount or frequency is a change to the recurring charge you previously authorized. Before any such change takes effect, Company will display the new amount and new frequency and will obtain your affirmative consent to the revised charge. Company records that consent in the same manner as your original enrollment consent.

Changing your amount or frequency does not change your Prepaid Service Balance, your Estimated Project Goal, or the Program Fee schedule applicable to you.

## 8. Skipping a Payment

You may skip a scheduled payment up to **two (2) times in any rolling twelve (12) month period**, without contacting Company, using your account page.

When you skip a payment, the next scheduled charge is not collected and billing resumes automatically at the following scheduled date. Skipping does not cancel the Program, does not create a refund, and extends the estimated timeline for reaching your Estimated Project Goal.

If you need to skip more than twice in twelve months, or need a longer pause, contact Company at 888-560-8488. Longer pauses are available at Company's discretion and must be confirmed in writing.

## 9. Prepaid Service Balance

Each successful payment increases your Prepaid Service Balance. The Prepaid Service Balance is tracked by Company and may be applied toward eligible Company services under these Terms. The balance does not earn interest, does not increase in value, and is not maintained as a bank account or independent financial account for you.

The Prepaid Service Balance is personal to the enrolled Customer and associated project unless Company approves otherwise in writing. The balance may not be sold, assigned, pledged, transferred, or exchanged for cash except through the refund process described in these Terms.

## 10. Use of Prepaid Service Balance

When you are ready to proceed with a project, Company will review your current service needs, property condition, available Prepaid Service Balance, and applicable service requirements. Company will then determine the final scope of work and final pricing, subject to its standard service process.

Your available Prepaid Service Balance may be applied toward the approved Company invoice for eligible services. If the final project cost exceeds your available balance, you must pay the difference under Company's standard payment terms before or at the time required by Company. If the final project cost is less than your available balance, any unused amount may remain available for eligible future services or may be handled under the refund provisions of these Terms.

## 11. Estimate Reviews and Milestones

Because project conditions may change over time, Company reassesses the Estimated Project Goal at milestones based on your funded percentage.

| Milestone | Purpose | Typical action |
|---|---|---|
| 25% funded | Early check-in | Company may request updated photos or video and revise the planning amount if needed. |
| 50% funded | Midpoint check-in | Company may perform another remote review and discuss any condition changes. |
| 90% funded | Final planning | Company schedules an onsite walkthrough to validate scope and pricing. |
| Ready to schedule | Final service planning | Company issues or updates the written scope, invoice, and service documents before work begins. |

Milestones are based on funded percentage, not elapsed time, and are unaffected by how often you pay.

Company's milestone reviews are planning tools and do not replace the final written scope, final invoice, or Work Authorization Agreement required before services begin.

## 12. Property Condition Changes

The condition of a property may change between enrollment and service. This is especially relevant for hoarding, heavy clutter, trash-out, biohazard, feces or urine contamination, odor, pest activity, hazardous material, water intrusion, structural deterioration, or abandoned-property situations.

If the property condition changes, worsens, expands, becomes more hazardous, requires additional labor, equipment, disposal, PPE, travel, permits, specialty handling, or otherwise differs from the information used to create the Estimated Project Goal, Company may update the Estimated Project Goal, final scope, and final price. You are responsible for providing accurate updates and current information before work is scheduled.

## 13. Scheduling and Final Scope

Enrollment in the Program does not guarantee immediate service availability. Scheduling is subject to technician availability, location, travel requirements, disposal availability, weather, access, safety conditions, staffing, Company capacity, and completion of all required service documents.

Before services begin, Company may require a final walkthrough, updated photos or video, a written scope of work, a signed Work Authorization Agreement, a final invoice, payment of any remaining balance, access instructions, and any other information reasonably necessary to perform the work.

## 14. Cancellation of Future Payments

**You may cancel future recurring payments at any time.** Because enrollment takes place online, cancellation is available online through your account page. You may also cancel by emailing Company or by calling 888-560-8488 during business hours. Company may require reasonable verification of your identity and account information before processing a cancellation request.

Cancellation takes effect immediately as to any charge that has not yet been initiated. A charge already in process at the time you cancel may still complete; if it does, that amount is added to your Prepaid Service Balance.

Cancellation of future payments stops future recurring charges. **It does not automatically create a refund of your unused Prepaid Service Balance.** Unless you request a refund under these Terms, your unused Prepaid Service Balance remains available to apply toward eligible Company services.

Company will send written confirmation of cancellation to your email address on file within two (2) business days.

## 15. Refund of Unused Prepaid Service Balance, and Program Fee

Upon cancellation, your default option is to apply your existing balance toward services, with the scope of work adjusted as reasonably necessary to fit the available balance. Company will work in good faith with you to define an adjusted scope. See Section 19.

If you instead prefer a cash refund, you may request a refund calculation from Company. Company may deduct a Program Fee from the unused Prepaid Service Balance. The Program Fee is intended to help cover onboarding, administration, account tracking, payment processing, estimate reviews, communications, and Program management costs.

| Funded percentage at cancellation | Program Fee | Basis |
|---|---|---|
| 0% – 25% | 20% of unused Prepaid Service Balance | Early-stage Program costs and account setup |
| 25% – 75% | 15% of unused Prepaid Service Balance | Ongoing Program administration and reviews |
| 75% or more | 10% of unused Prepaid Service Balance | Reduced fee near completion |

Funded percentage is calculated as total amount paid into the Program divided by the then-current Estimated Project Goal, multiplied by 100, capped at 100%.

**The Program Fee schedule above is fixed as of your enrollment date and will not be increased for you**, except where required by applicable law. The applicable tier within that schedule is determined at the time of cancellation, based on your funded percentage at that time. Company may reduce a Program Fee when required by law or when approved by management in writing.

Approved refunds are processed to the original payment method when reasonably possible, or by another method Company determines appropriate if the original method is unavailable. Refunds are subject to verification, payment processor rules, chargeback status, prior use of the balance, and any amounts already applied to services. Amounts already applied to completed or authorized services are not refundable under the Program refund process.

Company will generally process approved refunds within ten (10) business days after Company confirms the refund amount and obtains any required information. Processing times by banks or payment processors may vary.

## 16. Failed Payments and Inactive Plans

If a payment fails, Company may notify you and may attempt to process the payment again as permitted by its payment processor and applicable law. If payment failures continue, Company may place the Program on hold, suspend further Program activity, or terminate future payment processing. Your unused Prepaid Service Balance remains subject to these Terms.

If a Program remains inactive for more than twelve (12) months, Company may require updated photos, video, a new estimate review, or an onsite walkthrough before allowing the Prepaid Service Balance to be applied toward services.

## 17. Annual Reminder

At least once every twelve (12) months for as long as your plan remains active, Company will send you a reminder identifying the Program, the amount and frequency of your recurring charge, and how to cancel. This reminder is sent to your email address on file.

## 18. Third-Party Payments

Company may, in its discretion, allow a family member, property manager, organization, or other third party to make a payment toward your Program. Unless Company expressly agrees otherwise in writing, any third-party payment is treated as a payment made for your benefit and becomes part of your Prepaid Service Balance.

Third parties do not obtain ownership rights in the Program, do not control scheduling, do not control refund decisions, and may not demand a refund directly from Company unless Company has entered into a separate written arrangement with that third party. You are responsible for resolving any private disputes with third-party contributors.

## 19. Reduced Scope Option

If your available Prepaid Service Balance is less than the final cost of the full requested project, Company may, when practical, offer a reduced scope option. A reduced scope may focus on priority rooms, safety concerns, removal-only work, sanitation priorities, access pathways, kitchen or bathroom areas, or other limited work that fits the available budget.

Company is not required to offer a reduced scope if the proposed work would be unsafe, impractical, incomplete in a way that creates risk, outside Company's scope, or operationally unreasonable.

## 20. No Transfer, No Resale, No Independent Cash Value

The Program and Prepaid Service Balance are intended for eligible Company services for the enrolled Customer and associated project. The balance may not be sold, resold, assigned, transferred, pledged, or used as collateral. The balance has no independent cash value except as expressly provided in the refund section of these Terms.

Company may permit use of the balance for a different property, related customer, or adjusted service scope only if Company approves the change in writing.

## 21. Service Limitations and Safety Conditions

Company may decline, delay, suspend, or modify service if the property presents unsafe or unexpected conditions, including but not limited to structural instability, active utility hazards, illegal substances, weapons, needles, chemicals, biological hazards, pests, aggressive animals, blocked access, excessive odor, hidden contamination, lack of disposal options, or conditions requiring specialized contractors outside Company's scope.

Unless expressly included in a written scope of work, Company's services do not include structural repairs, electrical work, plumbing, HVAC repairs, carpentry, drywall replacement, painting, pest control, mold remediation, or other licensed trades. Odor reduction, stain removal, and restoration outcomes may vary depending on the condition of the property and affected materials.

## 22. Relationship to Work Authorization Agreement

These Terms govern only the Fresh Start Savings Program and your Prepaid Service Balance. They do not replace Company's standard Work Authorization Agreement, scope of work, invoice, service-specific terms, disclaimers, limitations, safety requirements, or payment terms for actual services.

Actual services are governed by the documents applicable to the specific job. If there is a conflict between these Terms and the Work Authorization Agreement regarding actual service performance, job limitations, onsite conditions, claims, inspections, or service-specific obligations, the Work Authorization Agreement and related service documents will control for the service work.

## 23. Customer Responsibilities

- Provide accurate and current information about the property and requested service.
- Submit updated photos, video, descriptions, and access details when requested.
- Maintain accurate contact and payment information.
- Review and accept required service documents before work begins.
- Pay any final balance not covered by the Prepaid Service Balance.
- Provide safe and lawful access to the property.
- Notify Company promptly if property conditions change materially.

## 24. Company Rights and Termination

Company may terminate or suspend the Program if you fail to make payments, initiate unresolved payment disputes, provide inaccurate information, use abusive or threatening communication, request unsafe or unlawful services, refuse required reviews, fail to complete required service documents, or if Company determines that the requested service cannot be reasonably performed.

If Company terminates the Program before services are performed, Company will determine whether the unused Prepaid Service Balance remains available for eligible services or whether a refund calculation is appropriate under these Terms and applicable law.

## 25. Payment Disputes and Chargebacks

If you dispute a Program payment with your bank or payment provider, Company may suspend Program activity, pause scheduling, restrict application of the Prepaid Service Balance, and require resolution of the dispute before services are scheduled. Company reserves all rights to respond to payment disputes with documentation of enrollment, consent, payment history, Program communications, and these Terms.

## 26. Communications and Notices

Company may communicate with you by email, phone, SMS, client portal, mailed notice, or any other contact method you provide. **If you provide a mobile number and consent to text messages, you may receive SMS from Company about your Program; message and data rates may apply, and you may opt out at any time by replying STOP.** SMS consent is not a condition of enrollment. You are responsible for keeping your contact information current. Notices sent to your most recent contact information on file will be considered valid unless prohibited by applicable law.

Company may send Program updates showing your estimated progress, total amount paid, available Prepaid Service Balance, estimated remaining timeline, requested milestone actions, or other Program information. These updates are provided for convenience and may be subject to correction if an error is discovered.

## 27. Changes to These Terms

Company may modify the Program or these Terms for future enrollments. For existing customers, any material change that adversely affects refund rights or Program Fee percentages will apply only after at least thirty (30) days advance written notice, and Company will not materially reduce refund rights or materially increase Program Fees retroactively unless permitted by applicable law. Company may provide notice of material changes by email, client portal, website posting, or other reasonable method.

## 28. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California, unless another governing law is required by applicable law or by Company's operative service agreement. Any dispute arising from or related to the Program shall be handled under Company's applicable dispute resolution procedures, including any arbitration or claims procedures contained in Company's standard service documents, to the extent enforceable under applicable law.

## 29. Customer Acknowledgment and Consent

By enrolling in the Fresh Start Savings Program, you acknowledge and agree that:

- You have received and reviewed these Terms before enrollment.
- The FSSP is a prepaid service plan and not financing, lending, or a bank account.
- **You authorize recurring charges in the amount and at the frequency disclosed to you at enrollment, continuing until you cancel.**
- Your Prepaid Service Balance may be applied toward eligible future Company services.
- The Estimated Project Goal is not a guaranteed final price.
- Property condition changes may affect final scope and final pricing.
- Cancelling future payments does not automatically create a refund.
- Refunds of unused Prepaid Service Balance, if requested and approved, may be subject to a Program Fee.
- Actual services require Company's standard service documents before work begins.

## Electronic Acceptance Record

Enrollment is completed online. At the point of enrollment the customer is presented with these Terms and the Automatic Renewal Disclosure, and must complete **two separate affirmative actions**, neither of which is pre-selected:

1. ☐ *I have read and agree to the Fresh Start Savings Program Terms and Conditions.*
2. ☐ *I understand my payment method will be charged **$[AMOUNT]** **[FREQUENCY]**, automatically, until I cancel.*

The customer then types their full legal name as an electronic signature.

Company records, at minimum: date and time of acceptance, IP address, device or browser identifier, the version of these Terms displayed, a content hash of the text displayed, the exact disclosure language shown on screen, both consent selections, the typed name, and the Estimated Project Goal, payment amount, and payment frequency in effect at that moment.
